Agreement Between User and IndieFi LLC

Welcome to the IndieFi website (the “Site”). The Site is comprised of various web pages operated by IndieFi LLC (“IndieFi,” “we,” “our,” or “us”). The Site is offered to you conditioned on your acceptance without modification of the terms, conditions, and notices contained herein (the “Terms”). Your use of the Site constitutes your agreement to these Terms. Please read them carefully and retain a copy for your records.

International Users

The Site is controlled, operated, and administered by IndieFi from the United States. If you access the Site from outside the U.S., you are responsible for compliance with local laws.

Indemnification

You agree to indemnify, defend, and hold harmless IndieFi, its officers, directors, employees, agents, and third parties for any losses, costs, liabilities, and expenses (including reasonable attorney’s fees) relating to or arising out of your use of the Site or violation of these Terms.

Arbitration

Any dispute arising out of or relating to these Terms shall be resolved by binding arbitration pursuant to the Federal Arbitration Act, administered by the American Arbitration Association (AAA) or similar service, in a location mutually agreed upon. The arbitrator’s award shall be final, and judgment may be entered in any court having jurisdiction.

Class Action Waiver

Arbitration will take place on an individual basis; class or representative actions are not permitted. YOU AND INDIEFI AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY.

Liability Disclaimer

THE SITE AND ALL INFORMATION, SOFTWARE, PRODUCTS, AND SERVICES ARE PROVIDED “AS IS” WITHOUT WARRANTY OR CONDITION OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, INDIEFI DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

Termination and Access Restriction

IndieFi reserves the right, in its sole discretion, to terminate your access to the Site and related services at any time, without notice. These Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-law rules, and you consent to the exclusive jurisdiction of state and federal courts located in Wyoming.

Changes to Terms

IndieFi reserves the right to change these Terms at any time. The most current version will supersede all prior versions. We encourage you to periodically review the Terms to stay informed of updates.
